⚡ Quantum Brief
Quantum Computing Inc. (QCi) will acquire Luminar Semiconductor (LSI) for $110 million in an all-cash deal, gaining its photonic technologies, patents, and engineering team to accelerate commercial quantum systems. The acquisition, pending bankruptcy court approval, aims to integrate LSI’s photonic components into QCi’s quantum roadmap while maintaining support for LSI’s existing non-quantum customers. Luminar Technologies, LSI’s parent company, filed for Chapter 11 bankruptcy, but LSI remains operational and unaffected by the proceedings, continuing normal business activities. QCi CEO Yuping Huang stated the deal will drive dual revenue streams: expanding LSI’s current customer base and advancing quantum appliance commercialization in key markets. Closing is expected by January 2026, contingent on court approval and customary conditions, with QCi serving as the stalking horse bidder in the Section 363 sale process.

Through the deal, Quantum Computing aims to advance its quantum systems for commercial deployment, while supporting Luminar Semiconductor’s existing customer base. Meanwhile, Luminar Technologies has filed voluntary Chapter 11 cases in the US Bankruptcy Court for the Southern District of Texas. QCi board chair and CEO Yuping Huang said: “This acquisition represents a meaningful step forward in our strategy to develop and scale practical, integrated quantum solutions. By GlobalData Learn more about Strategic Intelligence “The post-closing revenue opportunity will be two-fold: to serve and expand LSI’s current non-quantum customer base; and to utilise LSI’s technology and products to drive the commercialisation of quantum appliances in our targeted markets.” Luminar Semiconductor is not a debtor in these cases and continues to operate in the ordinary course.

As Luminar Semiconductor is a subsidiary of Luminar Technologies, the deal would need approval from the bankruptcy court through a Section 363 sale process. QCi has agreed to be the proposed stalking horse bidder for this process and will be entitled to customary bid protections. The parties expect to close the transaction after satisfying customary closing conditions, including receiving bankruptcy court approval, which they anticipate by the end of January 2026. Luminar Technologies CEO Paul Ricci said: “LSI is a high-quality business with significant long-term potential, and this transaction with QCi provides the investment and strategic vision needed to realise that potential. “By bringing together QCi’s and LSI’s complementary capabilities and engineering strengths, they will be able to bring innovations to market faster and better serve their customers across a broad set of advanced photonics and sensing applications.” Sign up for our daily news round-up!
